Terms & Conditions
These Terms and Conditions (“T&C”) are a legal agreement between you (“You”, “Your” or “Customer”) and our company (“We”, “Us” or “Our”) governing your use of Our pricing intelligence software (the “Software”) and any related services, which includes the ability to write surveys and send them out to online panels. By accessing or using the Software, you agree to be bound by these T&C.
Use of the Software
1.1. You may only use the Software for lawful purposes and in accordance with these T&C.
1.2. You may use the Software to create unique surveys and send them out to online panels, subject to any terms and conditions imposed by the panels you use.
1.3. You acknowledge that any use of the Software is at your own risk.
1.4 You may not use any language that may be considered offensive, derogatory or of sexually explicit nature.
Payment Terms
2.1. The Software is provided to You on a subscription basis, and You will be required to pay a fee for each subscription period. The subscription fee is non-refundable and will be charged at the beginning of each billing cycle.
2.2. We use Stripe to process payments for the Software, and by using the Software, You agree to be bound by Stripe’s terms and conditions.
2.3. The subscription grants you a non-exclusive, non-transferable license to use the software for the period of your subscription. You may not sublicense, sell, or distribute the software or any part thereof without our prior written consent.
2.4. The software, including all intellectual property rights, is owned by us or our licensors. You acknowledge that you have no ownership or other proprietary interest in the software, and you agree not to use the software for any purpose other than as authorized under these T&C.
2.5. We will provide technical support for the software during the subscription period. Any updates or new releases of the software will be made available to you as part of the subscription. You acknowledge that we are not responsible for any loss of data or functionality resulting from your use of the software.
2.6. We may terminate your subscription if you breach any of these T&C. Upon termination, you will no longer have access to the software, and we will not be liable for any damages resulting from the termination.
2.7. We will not be liable for any indirect, consequential, special, or punitive damages arising out of your use of the software, even if we have been advised of the possibility of such damages.
Intellectual Property
3.1. The Software and any related documentation are owned by Us and/or Our licensors and are protected by copyright laws and international treaties.
3.2. You may not reproduce, distribute, display, perform, create derivative works from, or otherwise use any of the Software or documentation, except as expressly permitted under these T&C.
3.3. You may not use any trademarked intelligent data, graphs or other information provided by the Software for any purpose other than for Your own internal business purposes.
3.4 We reserve the right to use your collected data anonymously [i.e without any brand identification] to build on our long term database which maps willingness to pay trends.
Privacy
4.1. We will collect and process your personal data in accordance with our Privacy Policy.
4.2. Your use of any panels to send out surveys is subject to their privacy policies.
Warranties and Disclaimer
5.1. We warrant that the Software will perform substantially in accordance with its documentation.
5.2. Except as expressly provided in these T&C, We make no warranties, express or implied, including without limitation, any implied warranties of merchantability or fitness for a particular purpose, with respect to the Software or any related services.
5.3. We are not responsible for any use of the Software by You, including without limitation, any loss or damage caused by the use of the Software.
Limitation of Liability
6.1. We will not be liable to You or any third party for any direct, indirect, incidental, special or consequential damages arising out of or in connection with the use of the Software, regardless of the form of action or the basis of the claim.
6.2. Our liability for any claim arising out of or in connection with the use of the Software shall not exceed the total fees paid by You for the Software during the six-month period preceding the claim.
Surveys
7.1. You may not use the Software to write surveys that contain language that may be considered offensive, derogatory, or of sexually explicit nature.
7.2. We reserve the right to remove any surveys that violate this provision.
Termination
8.1. We may terminate these T&C immediately upon written notice to You if You breach any of these T&C.
8.2. Upon termination, You must immediately cease all use of the Software.
General
9.1. These T&C constitute the entire agreement between You and Us and supersede all prior or contemporaneous communications and proposals, whether oral, written or electronic, between You and Us.
9.2. These T&C may not be amended except in writing by both parties.
9.3. These T&C will be governed by and constructed in accordance with the laws of the jurisdiction in Sweden, the European Union and the state of California. Any dispute arising out of or in connection with these T&C will be resolved through arbitration in accordance with the rules of the arbitration institution designated in these T&C.
By subscribing to our pricing software, you acknowledge that you have read, understood, and agreed to these T&C. If you have any questions or concerns, please contact us before subscribing.
